5. Services and availability

We do not guarantee that:

• The Services will always be available;
• The Services will be uninterrupted;
• The Services will be error-free;
• All features will remain available; or
• The Services will meet every particular user requirement.

We may perform maintenance, updates, security improvements, or other technical changes that temporarily affect availability.

Where reasonably practicable, we may provide advance notice of significant planned interruptions.

6. Information and content

Information provided through the Services is intended for general informational purposes unless expressly stated otherwise.

• You own or have the necessary rights to provide the User Content;
• Your User Content does not violate the rights of third parties;
• Your User Content does not violate applicable laws;
• Your User Content does not contain malicious code; and
• Your submission of the User Content does not create obligations for Watchmans that we have not agreed to.

We may remove User Content that we reasonably believe violates these Terms, applicable law, or the safety and security of the Services.

8. Intellectual property

The Services and their contents, including without limitation:

• Watchmans name and branding;
• Logos;
• Designs;
• Website layout;
• Software;
• Interfaces;
• Text;
• Graphics;
• Images;
• Videos;
• Documentation;
• Databases; and
• Other materials

are owned by or licensed to Watchmans and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not:

• Copy;
• Modify;
• Reproduce;
• Distribute;
• Publish;
• Sell;
• License;
• Create derivative works from; or
• Commercially exploit

any part of the Services without our prior written permission.

Nothing in these Terms grants you ownership of Watchmans intellectual property.

9. Feedback

If you provide suggestions, ideas, recommendations, or other feedback concerning the Services, you agree that Watchmans may use that feedback without restriction or compensation to you.

You retain ownership of any intellectual property that you independently own, subject to the rights granted under these Terms.

10. Third-party services

The Services may integrate with or contain links to third-party websites, applications, platforms, products, or services.

Third-party services are provided by their respective providers and may be subject to separate terms and privacy policies.

Watchmans does not control and is not responsible for third-party services, including their:

• Availability;
• Accuracy;
• Security;
• Content;
• Privacy practices; or
• Terms.

Your use of third-party services is at your own risk.

11. Payments and fees

Where the Services require payment, applicable prices and fees will be presented to you before you complete the relevant transaction.

Unless otherwise stated:

• Prices are presented in the applicable currency shown at checkout;
• You are responsible for applicable taxes and charges;
• Payments must be made using an accepted payment method;
• You authorize the applicable payment provider to process the transaction; and
• Certain fees may be non-refundable where permitted by applicable law.

We reserve the right to change prices or fees prospectively by providing appropriate notice where required.

12. Subscriptions

If Watchmans offers subscription-based Services, the applicable subscription terms, price, billing frequency, renewal conditions, and cancellation provisions will be presented at the time of purchase.

Unless otherwise stated, subscriptions may automatically renew for successive billing periods until cancelled.

You may cancel a subscription in accordance with the cancellation process provided by Watchmans.

Cancellation generally takes effect at the end of the applicable paid billing period unless otherwise required by law or expressly stated at purchase.

13. Refunds

Refund eligibility depends on the specific product or service purchased and applicable law.

Where a refund policy applies, it will be disclosed at the time of purchase or through the relevant service documentation.

Nothing in these Terms limits any mandatory consumer rights that cannot legally be excluded.

14. Prohibited activities

• Attempt unauthorized system access;

• Conduct unauthorized security testing;
• Scrape or harvest information in violation of applicable law or our technical restrictions;

• Circumvent payment or access restrictions; or
• Engage in activity that could reasonably harm Watchmans or its users.

15. Suspension and termination

We may suspend or terminate your access to the Services if:

• You violate applicable law;
• Your account presents a security risk;
• We reasonably suspect fraudulent or abusive activity;
• Your use creates a risk to Watchmans or another user; or
• We discontinue the relevant Services.

You may stop using the Services at any time.

Upon termination, provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

WATCHMANS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED;
• THE SERVICES WILL BE ERROR-FREE;
• THE SERVICES WILL BE SECURE AT ALL TIMES;
• INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE OR COMPLETE; OR
• THE SERVICES WILL MEET YOUR PARTICULAR REQUIREMENTS.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded under applicable law.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCHMAN SECURITY LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WATCHMANS FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO WATCHMANS FOR THE RELEVANT SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED U.S. DOLLARS (US $100).

These limitations apply to the fullest extent permitted by applicable law.

18. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Watchman Security LLC and its affiliates, officers, directors, employees, contractors, agents, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

• Your violation of these Terms;
• Your violation of applicable law;
• Your misuse of the Services;
• Your User Content;
• Your infringement of another person's rights; or
• Your negligent or unlawful conduct.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate with us.

19. Governing law

These Terms will be governed by and interpreted in accordance with the laws of the jurisdiction in which Watchman Security LLC is organized, without regard to conflict-of-law principles.

Nothing in these Terms prevents consumers from exercising rights granted to them under mandatory laws applicable in their jurisdiction.

20. Dispute resolution

Before initiating formal legal proceedings, you agree to contact Watchmans at: security@watchmans.co

and provide a reasonable opportunity to resolve the dispute informally.

Where permitted by applicable law, disputes may be resolved through courts or other dispute-resolution mechanisms in the jurisdiction applicable to Watchman Security LLC.

Nothing in this section limits any rights that cannot legally be waived.

21. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

22. No waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.

23. Entire agreement

These Terms, together with any policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Watchmans concerning your use of the Services.

They supersede prior or contemporaneous agreements concerning the same subject matter, except where otherwise expressly agreed.

24. Changes to these terms

We may modify these Terms from time to time.

When we make material changes, we may provide notice through the Services, by email, or by other reasonable means where required by applicable law.

The updated Terms will become effective on the date indicated at the beginning of the revised Terms unless otherwise stated.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by law.

25. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.

Watchmans may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or similar corporate transaction.

26. Electronic communications

By using the Services or communicating with Watchmans electronically, you consent to receiving communications electronically where permitted by applicable law.

Electronic communications may include:

• Emails;
• Notices;
• Account communications;
• Transactional communications;
• Service announcements; and
• Other communications relating to the Services.

You agree that electronic communications satisfy legal requirements for written communications where permitted by applicable law.
